The rules and guidelines that govern the use of our platform.

Welcome to ReplyFlow. These Terms of Service ("Terms") govern your access to and use of ReplyFlow's services, software, and websites (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree to these Terms, you may not access or use our Services.
1. About ReplyFlow
ReplyFlow is a SaaS platform that provides businesses with a unified inbox for managing customer communications across multiple messaging channels including WhatsApp, Instagram, and Telegram. Our Services include AI-powered reply suggestions, team collaboration tools, analytics, and contact management features.
2. Eligibility
To use our Services, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our Services under applicable laws
- Represent a legitimate business entity with valid business operations
- Provide accurate, complete, and current information during registration
3. Account Registration and Security
3.1 Account Creation
To access our Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
- You are responsible for all activities that occur under your account
- You must immediately notify us of any unauthorized access or security breach
- You must use strong passwords and enable two-factor authentication where available
- Sharing account credentials is strictly prohibited
3.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.
4. Acceptable Use Policy
You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Send spam, unsolicited messages, or engage in marketing without proper consent
- Upload, transmit, or distribute viruses, malware, or harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of our Services
- Use our Services for illegal activities, fraud, or money laundering
- Impersonate any person or entity or misrepresent your affiliation
- Harvest or collect user information without consent
- Use automated systems (bots) to access Services without authorization
- Reverse engineer, decompile, or attempt to extract source code
5. Subscription Plans and Billing
5.1 Plan Tiers
ReplyFlow offers multiple subscription tiers: Free, Starter, Professional, and Enterprise. Each tier has different features, usage limits, and pricing as described on our pricing page. Subscriptions are tied to your user account and apply across all businesses you own.
5.2 Billing
- All paid plans are billed monthly in advance
- Payments are processed through Razorpay, our secure payment provider
- You authorize us to charge your payment method on a recurring basis
- Prices are in Indian Rupees (INR) unless otherwise stated
- All fees are exclusive of applicable taxes, which will be added as required
5.3 Upgrades and Downgrades
You may upgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the end of your current billing cycle. No refunds are provided for downgrades or mid-cycle cancellations.
5.4 Cancellation and Refunds
- You may cancel your subscription at any time from the Billing page in your dashboard
- Cancellations take effect at the end of your current billing period
- No refunds are provided for mid-cycle cancellations
- Refunds are not provided for partial months or unused features
- Upon cancellation, your account will be downgraded to the Free plan
5b. Account Types
5b.1 Owner Accounts
Users who sign up directly create an Owner account. Owner accounts can create and manage businesses, manage subscriptions, and invite team members.
5b.2 Invited Accounts
Users who join via a team invitation create an Invited account. Invited accounts can participate in businesses they are invited to but cannot create new businesses or manage billing. Invited users may convert their account to an Owner account at any time from their dashboard.
5c. Account Deletion
You may permanently delete your account at any time from the Security settings in your dashboard. When you delete your account:
- Any active paid subscriptions will be cancelled immediately with Razorpay
- All businesses you own will be permanently deleted along with their data
- All connected messaging accounts will be deregistered from their respective platforms
- Your profile, avatar, and personal data will be removed
- Invitations you have sent will be cleaned up
- This action is irreversible and data cannot be recovered
- No refunds are provided for unused subscription time when deleting your account
5c.1 Third-Party Platform Deregistration
When you delete your account or a business, ReplyFlow will automatically attempt to deregister your connected accounts from third-party platforms:
- WhatsApp: Your phone number will be deregistered from the WhatsApp Cloud API and the app will be unsubscribed from your WhatsApp Business Account. You may need to re-verify your number in the WhatsApp Business app to resume receiving messages there.
- Instagram: The app will be unsubscribed from your linked Facebook Page. Your Instagram DMs will continue to be accessible natively through Instagram.
- Telegram: The webhook will be removed from your bot. You will need to reconfigure your bot if you wish to use it with another service.
ReplyFlow makes best-effort attempts to complete these deregistrations but cannot guarantee success if third-party platform APIs are unavailable. All access tokens and credentials are permanently deleted regardless of deregistration outcome.
6. Usage Limits and Fair Use
Each subscription plan has specific limits on messages, connected accounts, and team members. If you exceed your plan's limits:
- You will be notified and given the option to upgrade
- Exceeding limits may result in temporary service restrictions
- We reserve the right to enforce fair use policies
- Excessive or abusive usage may result in account suspension
7. Data Ownership and Privacy
7.1 Your Data
You retain all rights to the data you upload, store, or transmit through our Services ("Customer Data"). We do not claim ownership of your Customer Data.
7.2 Data Usage and Processing
We use your data solely to provide and improve our Services as described in our Privacy Policy. We implement industry-standard security measures to protect your data.Where ReplyFlow processes personal data on behalf of your customers, ReplyFlow acts as a "Data Processor" and you act as the "Data Controller".
7.3 Data Retention
We retain your data for as long as your account is active or as needed to provide Services. When you delete your account, your data is permanently removed immediately, including your profile, businesses, messages, contacts, and connected accounts. Backup copies may persist for up to 90 days before being purged. Some data may be retained longer if required by law.
8. Intellectual Property Rights
8.1 Our IP
ReplyFlow and all related trademarks, service marks, logos, and content are owned by us or our licensors. You may not use our intellectual property without express written permission.
8.2 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our Services for your business purposes.
9. Third-Party Services and Integrations
Our Services integrate with third-party platforms including:
- Meta Platforms (WhatsApp, Instagram): For messaging functionality
- Telegram: For messaging functionality
- OpenAI: For AI-powered reply suggestions
- Razorpay: For payment processing
- Supabase: For data storage and authentication
Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services or their availability.
10. Warranties and Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that our Services will be uninterrupted, error-free, or completely secure. We disclaim all liability for any harm resulting from the use of our Services.
10.1 AI-Generated Content Disclaimer
The Services include features that utilize Artificial Intelligence ("AI") to generate text, reply suggestions, and other content. You acknowledge that AI systems may occasionally produce incorrect, harmful, or biased information ("Hallucinations"). ReplyFlow does not guarantee the accuracy, quality, or safety of any AI-generated content. You are solely responsible for reviewing and verifying all AI-generated replies before sending them to your customers. ReplyFlow shall not be liable for any damages arising from your reliance on AI-generated content.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLYFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
Our total liability to you for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless ReplyFlow and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our Services, violation of these Terms, or infringement of any rights of another party.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India without regard to conflict of law principles. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts in Haryana, India.
Before initiating legal proceedings, you agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, either party may pursue legal remedies.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through our Services. Your continued use of our Services after such notification constitutes acceptance of the updated Terms.
15. Termination
Either party may terminate these Terms at any time. Upon termination:
- Your right to access and use our Services will immediately cease
- Any active paid subscriptions will be cancelled immediately via Razorpay
- You remain responsible for any fees incurred prior to termination
- All businesses you own and their associated data will be permanently deleted
- All connected accounts will be deregistered from third-party platforms as described in Section 5c.1
- Your profile, avatar, and personal information will be removed
- Provisions that by their nature should survive termination will continue to apply
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReplyFlow regarding our Services.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
